Macstab GmbH provides software engineering services, cloud solutions, game development and distribution, business consulting, and related digital services. Our services may include but are not limited to: custom software development, cloud infrastructure management, game provision and hosting, business process optimization, data analytics, and technical consultation.

Business Communication and Customer Relations

All business communications between you and Macstab GmbH are subject to these Terms. We may communicate with you via email, phone, video calls, messaging platforms, or through our website. You consent to receive business communications necessary for service provision, account management, legal notices, and marketing communications (where you have opted in). You may unsubscribe from marketing communications at any time.

Forms and Data Collection

When you complete forms on our website or provide information through our services, you warrant that all information provided is accurate, current, and complete. We collect and process this data in accordance with our Privacy Policy and applicable data protection laws including GDPR. Payment Terms and Billing

For paid services, payment terms will be specified in your service agreement or invoice. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges as permitted by UK law. We reserve the right to suspend services for non-payment. All prices are exclusive of VAT unless stated otherwise. Refunds are subject to our refund policy as communicated at the time of purchase.

Service Availability and Performance

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to our services. Scheduled maintenance, system updates, and unforeseen technical issues may cause temporary service interruptions. We aim for 99.5% uptime for our core services but cannot be held liable for any downtime beyond our reasonable control.

Data Security and Breach Response

We implement industry-standard security measures including encryption, access controls, regular security assessments, and employee training. In the event of a data breach affecting personal data, we will notify relevant authorities and affected individuals within 72 hours as required by GDPR. We maintain comprehensive incident response procedures and regularly test our security systems.

We are not responsible for the availability, functionality, or security of third-party services. We may immediately suspend or terminate your access if you violate these Terms, engage in illegal activities, or fail to pay applicable fees. Upon termination, your right to use our services ceases immediately. We will handle data deletion in accordance with our data retention policies and applicable laws.

Limitation of Liability

Our liability is limited to the maximum extent permitted by German law. In no event shall Macstab GmbH be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the incident.

Indemnification

You agree to indemnify and hold harmless Macstab GmbH, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, labour disputes, or technical failures of third-party infrastructure.

Governing Law and Jurisdiction

These Terms are governed by German law and are subject to EU regulations where applicable. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of the courts in Hamburg, Germany. For consumers within the EU, mandatory consumer protection laws of their country of residence may also apply.

Dispute Resolution

We encourage resolution of disputes through direct communication. If a dispute cannot be resolved amicably, we are willing to participate in mediation before pursuing litigation. For consumer disputes, you may also contact relevant consumer protection authorities or use alternative dispute resolution mechanisms available in your jurisdiction.

Data Retention and Deletion

We retain personal data only as long as necessary for the purposes for which it was collected, to comply with legal obligations, or to establish, exercise, or defend legal claims. Upon termination of services or upon your request (where legally permissible), we will delete your personal data in accordance with our data retention policy and applicable laws.

These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
